Terms of Service

1. The three things these terms cover

(a) This website — product information, documentation, release notes, and a contact form. (b) Waykeep Core — the free, local-first software. (c) Waykeep Team — the paid, hosted team-sync subscription. Different rules apply to each, as set out below. If you use the services on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

2. Waykeep Core is licensed, not sold

Waykeep Core is source-available software distributed under the Elastic License 2.0. That license — not these terms — governs your use, copying, modification, and redistribution of the software, including its limits: you may not provide Waykeep to others as a hosted or managed service, may not circumvent license-key functionality, and may not remove licensing notices. Where these terms and the Elastic License 2.0 conflict regarding the software itself, the license controls.

Waykeep Core is provided free of charge and, to the maximum extent permitted by law, "as is" and without warranty, as the license states.

3. Waykeep Team: accounts and seats

To use Waykeep Team you need an account with accurate information, and you are responsible for keeping your credentials secure and for activity under your account. Each seat is for one named person; seats may be reassigned as people join and leave, but not shared concurrently. The team owner occupies one billed seat. You must be at least 18, or the age of majority where you live, to purchase a subscription.

4. Price, trial, and renewal — stated plainly

Price. Waykeep Team costs US $15 per seat per month, plus any taxes we are required to collect. We will give at least 30 days' notice by email before any price increase, which takes effect at your next renewal after the notice period.

Trial. Teams of two or more seats receive one 14-day free trial per team. One trial per team and per subscription lineage: renewals, upgrades, and re-purchases do not restart a trial. We may decline or end trials that circumvent this rule.

Automatic renewal. Subscriptions renew automatically each month and your payment method is charged each billing period until you cancel. You can cancel at any time online from your account, or by contacting us; cancellation takes effect at the end of the current billing period, and no further charges are made after that. Except where the law requires otherwise, fees already paid are non-refundable; where you have a statutory right of withdrawal or refund as a consumer, that right is unaffected.

Non-payment. If a renewal charge fails, we may suspend the team's sync access until payment succeeds; your hosted data remains subject to the retention terms below.

5. Your data, our license to host it

You own the content your team syncs to Waykeep Team. You grant VEDTECH a limited, non-exclusive license to host, store, transmit, and display that content solely to provide, secure, and support the service, and for no other purpose. We do not use your synced content to train machine-learning models. After a subscription ends you have 30 days to export your team data; after that we delete hosted copies as described in the Privacy Policy.

6. Acceptable use

You may not use the services to store or distribute content that is unlawful or that infringes others' rights; attempt to breach, probe, or overload the service or other customers' data; circumvent seat limits, entitlement checks, trials, or billing; resell or provide the hosted service to third parties; or use the services in violation of export-control or sanctions laws. We may suspend access that presents a security, legal, or abuse risk, acting proportionately and restoring access when the issue is resolved.

7. Availability and changes

We operate Waykeep Team with reasonable skill and care, but it is not fault-free or uninterrupted: maintenance, upgrades, and events outside our control can affect availability. We may improve or change service features over time; if we materially reduce Waykeep Team's core functionality, we will give notice and you may cancel before the change takes effect. We may update these terms with at least 30 days' notice for material changes; continued use after the notice period is acceptance. The website and its content may change at any time.

8. Intellectual property

Waykeep, the Waykeep name and logo, the website, and the services are owned by VEDTECH and its licensors. These terms grant you no rights in them except as expressly stated here or in the Elastic License 2.0. Feedback you choose to send us may be used to improve the products without obligation to you.

9. Disclaimers and liability

Except as expressly stated in these terms, and to the maximum extent permitted by law, the services are provided without further warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Waykeep stores what your tools record; it is not a system of record for regulated data, and you are responsible for what your team chooses to sync.

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) VEDTECH's total liability arising out of the services in any 12-month period is limited to the amounts you paid for Waykeep Team in that period (or US $50 if you have paid nothing). Nothing in these terms excludes or limits liability that cannot be excluded by law — including liability for fraud, or for death or personal injury caused by negligence — and nothing affects statutory consumer rights that cannot be waived.

10. Indemnity

If you use the services in breach of these terms, or your synced content infringes someone's rights or violates law, you will defend and indemnify VEDTECH against third-party claims, damages, and reasonable costs arising from that breach or content. This clause does not apply to consumers where the applicable law does not permit it.

11. Termination

You may stop using the services and cancel at any time. We may terminate or suspend access for material breach of these terms that remains uncured 14 days after notice, or immediately for serious abuse, security risk, or legal necessity. Sections that by their nature should survive — data export and deletion, intellectual property, disclaimers, liability limits, indemnity, and governing law — survive termination.

12. General

These terms are governed by the laws of Jamaica, and the courts of Jamaica have jurisdiction, except that if you are a consumer you keep any protection and forum granted by the mandatory law of your country of residence. If a provision is found unenforceable, the rest remains in effect. Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition, or sale of the business, with notice. These terms, the Elastic License 2.0 for the software, and the Privacy Policy are the entire agreement between us about the services.
